Opinion of Value

What the company is worth today, and what is holding that number down.

Turris prepares a written Opinion of Value at no cost and with no obligation. It takes about two weeks. You get a defensible range and the specific items moving it, and we get an early look at a company we may want to represent. That is the whole arrangement, and it is worth being plain about it.

What you receive

Four things, in writing.

01
A normalised earnings figure

Reported EBITDA rebuilt with owner compensation, related-party rent and non-recurring items identified and rated for how well each one is likely to hold up in diligence.

02
A value range with its basis

Low, mid and high, with the sector evidence and the size, growth and risk adjustments behind each one written out rather than asserted.

03
The items suppressing the number

Customer concentration, owner dependence, the state of the financial record, deferred capital expenditure. Each one costed, so you can see what it is worth to address.

04
Who would buy it

The buyer types that fit the business, and whether the relationships to reach them already exist. This is usually the part owners have never seen before.

How it works

Request it here. Share the numbers in a secure room.

After you request an opinion, we open a private data room for your company and send you a personal link. Only you and the Turris principals can see it, every document is encrypted and watermarked, and you upload straight from your computer. Nothing travels by email. These are the items the room asks for; if something is not available, say so and we will work around it and note where the estimate sits.

  • Three years of financial statementsWhatever exists: internal, compiled, reviewed or audited.
  • Trailing twelve month profit and loss by monthSupports the seasonality picture a buyer will ask about.
  • Revenue by customer for the last three yearsThe single most examined schedule in any diligence process.
  • Owner compensation, benefits and any related-party arrangementsUsually the largest adjustment, and the one most often challenged.
  • One conversation about what you actually wantPrice, timing, what happens to the people, and whether you intend to stay.

Everything is held under the same confidentiality terms that govern a live mandate. Nothing is listed, filed or shared, and there is no record of the enquiry outside this firm. You confirm the scope below inside the room before the opinion is issued.

Scope, and the limits of it

An Opinion of Value is the firm’s considered view of the price range a company would plausibly command in a competitive sale process today. It is not an appraisal, a certified or formal business valuation, a fairness opinion, or a conclusion of value under any professional valuation standard, and it is not prepared by a credentialed appraiser.

It cannot be used for tax filings or positions, gift and estate reporting, employee stock ownership plans, section 409A, SBA or other lender submissions, financial reporting, litigation or divorce proceedings, or triggering a buy-sell agreement. Each of those requires a formal appraisal prepared to the applicable standard, and we will refer you to someone who does that work.

Basis of preparation. The opinion rests on information you provide. Turris Group performs no audit, review or independent verification of that information, and expresses no assurance on it. Market evidence is drawn from public sources and the firm’s own transaction experience, both of which change.

Reliance. The opinion is prepared for the named recipient and for the purpose of considering a possible transaction. No third party may rely on it. It is not a recommendation to buy, sell, hold or refinance, and it is not legal, tax or investment advice.

These terms appear on the document itself, and you will be asked to acknowledge them before it is issued. We would rather be tedious about this once than have a range quoted back to us in a setting it was never built for.

Questions about the Opinion of Value.

Yes. Turris Group prepares a written Opinion of Value at no cost and with no obligation, and there is no requirement to sign anything or engage the firm afterwards. It takes about two weeks. The firm does this because it is how we see companies early, and the arrangement is worth stating plainly rather than dressing up.

The firm's considered view of the price range a company would plausibly command in a competitive sale process today, together with the basis for it. It sets out normalised earnings, a value range with its adjustments, the specific items suppressing the number, and the buyer types that would fit the business.

No. An Opinion of Value is not an appraisal, a certified or formal business valuation, a fairness opinion, or a conclusion of value under any professional valuation standard, and it is not prepared by a credentialed appraiser. It is a market view prepared by an M&A advisory firm.

Tax filings or positions, gift and estate reporting, employee stock ownership plans, section 409A, SBA or other lender submissions, financial reporting, litigation or divorce proceedings, and triggering a buy-sell agreement. Each of those requires a formal appraisal prepared to the applicable standard, and Turris will refer you to someone who does that work.

Three years of financial statements in whatever form exists, a trailing twelve month profit and loss by month, revenue by customer for three years, owner compensation and any related-party arrangements, and one conversation about what you actually want from a transaction. About an hour of your time.

Everything is held under the same confidentiality terms that govern a live mandate. Documents are shared through a private data room opened for your company, which only you and the Turris principals can see; nothing is sent by email. Nothing is listed, filed or shared, and Turris does not publish client names, before a transaction or after one.

You do not send it by email. After your request, Turris opens a private, secure data room for your company and emails you a personal sign-in link. The room lists the items needed and you upload them straight from your computer. Every document is watermarked, and only you and the Turris principals can see the room.

About two weeks from receiving the financial information. You will hear back on the request itself within two business days, and if Turris is not the right firm for the situation you will be told then rather than later.
